Note: Any Buyer who purchases an aggregate of $10,000 or more (Hammer Price) will be required to provide certain additional information (See PNC Worksheet), which will be used by the Bank to comply with Anti-Money Laundering and Anti-Terrorism Statutes.  Within two (2) days of supplying such information the Bank will determine whether accepting funds from the buyer would violate those statutes.  Equipment cannot be released until the earlier of approval or the expiry of the two (2) days. 

Note: This is a sale of assets of ABC Paving, Inc., Michigan Roads Maintenance Company LLC and related companies by PNC Bank, N.A., as secured creditor, pursuant to its rights under Article 9 of the Uniform Commercial Code as adopted in the State of Michigan. Successful approved buyers will receive a secured creditor bill of sale from PNC Bank, N.A. conveying ABC Paving Inc.’s and PNC Bank, N.A.’s interest in the assets to the extent provided under Article 9 of the UCC as adopted in the State of Michigan.

Bidder/Buyer acknowledges and agrees that as part of any proposed sale, PNC is required, by law, to confirm that each prospective Bidder/Buyer and each equity holder of each such entity is not or shall not be: (i) a person with whom PNC is restricted from doing business under any Anti-Terrorism Law (as hereinafter defined) or Anti-Money Laundering statutes, (ii) engaged in any business involved in making or receiving any contribution of funds, goods or services to or for the benefit of such a person or in any transaction that evades or avoids, or has the purpose of evading or avoiding, the prohibitions set forth in any Anti-Terrorism Law or any Anti-Money Laundering statutes, or (iii) otherwise in violation of any Anti-Terrorism Law. For the purposes of these terms and conditions, “Anti-Terrorism Law” shall mean any laws relating to terrorism or money laundering, including Executive Order No. 13224, effective September 24, 2001, the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, Public Law 107-56, the laws comprising or implementing the Bank Secrecy Act, the Foreign Corrupt Practices Act, as jointly enforced by the United States Justice Department and the Securities and Exchange Commission, and the laws administered by the United States Treasury Department's Office of Foreign Assets Control (as any of the foregoing orders or laws may from time to time be amended, renewed, extended, or replaced). Any successful Bidder/Buyer at the sale who purchases items with gross sale prices that, in the aggregate, are ten thousand dollars or greater, shall be required, prior to settlement, to provide Auctioneer with: (i) in the case of an individual Bidder/Buyer, his or her name and home address; (ii) in the case of entity Bidders/Buyers that are not publically traded entities, the name, address and taxpayer identification number, of such entity as well as the names and addresses of all shareholders/members/ managers and officers of such entity; and (iii) such information about the successful Bidder’s/Buyer’s source of funds as PNC may request to insure compliance with Anti-Terrorism Law. No such sale shall be settled until two Business Days after a successful Bidder/Buyer has provided all required information to PNC’s sole satisfaction. PNC reserves the right, without liability to the Bidder/Buyer, to reject any bid if: (i) the Bidder/Buyer fails to provide the requested information; (ii) PNC determines, in its sole and absolute discretion, that consummation of the sale to the Bidder/Buyer may (1) cause PNC to be in violation of any Anti-Terrorism Law, (2) have an adverse reputational risk to PNC; or (iii) PNC is unable to make a determination as to whether PNC will be in violation of any Anti-Terrorism law by consummating the sale to the successful Bidder/Buyer. In the event that any successful Bidder/Buyer fails to provide the required information or is disqualified, the auction sale may, at the sole discretion of PNC, be voided. In the event that any sale is voided, Auctioneer shall within five (5) business days return all funds paid by Bidder/Buyer in connection with such sale.
